Party A: WeiNan National High-Tech Industrial Development Zone (“WeiNan HTIDZ”). National High-Tech Industrial Development Zone funded by the Shanxi Provincial government and established to build practical, industry specific, skills in Manufacturing, IT and other key growth industries, in the WeiNan Prefecture.
甲方：渭南国家高新技术产业开发区——是由陕西省人民政府批准并在渭南市设立的国家级高新技术产业开发区，主要侧重于发展现代制造业、IT及其他战略新兴产业等。

Party B: Oracle China Software Systems Co., Ltd, PRC legal entity, the wholly-owned subsidiary of Oracle Corporation.
乙方：甲骨文（中国）软件系统有限公司------中国企业法人，甲骨文公司在中国的独资公司。

Party C: Shenzhen Corechipway Technology Co.,Ltd. , Oracle Workforce Development Program Partner, based in WeiNan, China tasked with recruiting students and delivering Oracle training at the WeiNan PTB, based on PTB training material developed and owned by OU China.
丙方：深圳核芯威科技有限公司------是甲骨文公司全球职业教育项目在渭南的合作伙伴，将基于甲骨文公司教育部门研发并拥有的教育资源，依托渭南实训基地进行招生和实训实施甲骨文培训。

Party D: Shanghai Genius Information Technology Co., Ltd., is a company with extensive experience in IT system integration and comprehensive services in IT. It has a strong network of partners as background support, it can provide customers with comprehensive consulting, project implementation and technical services to the overall solution.
丁方：上海瑾临信息技术有限公司----是一家拥有具有丰富经验的IT系统集成与综合服务的公司，并且有着强大的合作伙伴网络作为后台支持，可以为客户提供全面的包括咨询、 项目实施和技术服务的整体解决方案。

A. Background:
一、 背景：
With the rapid growth of IT Outsourcing in WeiNan, the industry is experiencing a substantial shortage of IT skills. Government and industry are collaborating to address this
gap by establishing of Practical Training Bases (PTB).
随着渭南IT服务外包行业的迅速发展，服务外包行业正面临着IT技术人才的大量短缺。甲骨文（渭南）实训基地的共同建设是政府和IT厂商通力协作，共同解决IT服务外包产业发展过程中最核心的人才供应问题。

B. Objective
二、 目标
The four parties above have agreed to collaborate and develop Oracle specific IT skills, servicing market demand for the burgeoning IT Outsource Industry. With this objective the four parties have agreed to set up the Oracle (WeiNan) PTB (PTB) leveraging the Global IT training expertise of Party B through its curriculum and technology coupled with the delivery and operational experience, and classroom & IT infrastructure by Party C, the funding by Party A, and the system integration services by Party D. Oracle (WeiNan) PTB aims to develop over 20,000 students on Oracle specific Technologies over the next several years.
四方同意共同合作培养甲骨文IT技术专业人才，满足正迅速发展的IT服务外包行业的市场需求。为实现此目标，四方同意共同建设Oracle（渭南）实训基地（以下简称PTB），依托甲方提供的资金扶持和丙方的场地及IT基础设施，通过丁方提供系统集成建设服务和引入乙方的课程和技术，同时借助于乙方在全球范围内成功的IT人才培养运营和实施经验，Oracle（渭南）实训基地计划在未来的几年内，培养出超过20,000名熟练掌握甲骨文相关技术的学生。

C. Responsibilities:
三、各方职责
1. Party A: 甲方
Responsible for providing funding for PTB content;
对PTB实训体系的建设给予资金支持。
Provide policy direction and support to the Higher Education institutes with respect to the Oracle (WeiNan) PTB initiative and encourage student enrolments.
提供政策引导和支持Oracle（渭南）实训基地的启动，并鼓励区域内的高等院校和学生接入实训基地进行实训。

2. Party B: 乙方
According to Party B’s standard agreements and orders entered into with related parties of this Memorandum of Understanding (MOU), design and develop Party B’s practical training content on a time & materials basis;
根据乙方标准协议及本MOU相关方随后的订单，乙方及时并有效地设计并开发实训内容。
According to Party B’s standard agreements and orders entered into with related
parties of this Memorandum of Understanding (MOU), provide Party B’s software programs to support the PTB environment;
根据乙方标准协议及本MOU相关方随后的订单，乙方提供相关的软件程序以支持实训基地的实训环境建设。
According to Party B’s standard agreements and orders entered into with Party C, provide appropriate knowledge transfer to specified faculty members of Party C.
根据乙方标准协议及丙方随后的订单，给丙方指定的相关人员提供相应的知识培训。

3. Party C: 丙方
 Responsible for providing classroom facilities, related IT infrastructure;
负责提供教室基础设施与相关的IT设施。
 Ensure timely and quality delivery of practical training programs to support the Oracle (WeiNan) PTB initiative;
确保及时并且高质量地进行实训项目的实施，支持甲骨文（渭南）实训基地的运营。
 Follow Oracle University policy and direction with respect to the operation of the Oracle (WeiNan) PTB.
遵循甲骨文大学关于甲骨文（渭南）实训基地运营的政策和指导。

4. Party D: 丁方
Responsible for system integration services for PTB;
负责基地IT系统集成服务；
Provide support for Oracle (WeiNan) PTB in technology and operation;
为基地提供技术和运营支持。

5. Common responsibilities of each party各方共同责任：
Each party shall cover its own costs and expenditures and labor costs for fulfilling the responsibilities and obligations stipulated in this MOU on Strategic Cooperation;
此MOU中规定了关于此次战略合作中各方的责任和义务。各方需自行承担因完成各自责任和义务的需要而产生的成本、各项支出和人员费用。

Each party may negotiate with each other separately or with a third party as required on the commercial contents of this MOU and enter into a further Commercial Agreement.
各方可以进行双边的协商，或根据需要与第三方协商关于本MOU的商业内容，从而达成进一步的商务协议。

Each party agrees that the Commercial Agreement directly signed by related parties must be separated from any other contracts or agreements signed by the parties. In other words, the Agreement shall have no relationships with Party A, Party B, Party C and Party D’s any other contracts or agreements.
各方同意由各方直接签署的商务协议独立于其他的由各方签署的合同或协议。换言之，该商务协议与相关各方签署的其他合同或协议没有关联关系。

If Party A, Party C, Party D sign any agreements with Party B’s authorized partners, such agreements are independent and there are no relationship with this MOU.
如果甲方、丙方、丁方与乙方授权的合作伙伴签署任何协议，该协议独立于本MOU而存在且与本MOU没有关联关系。

Subject to the Commercial Agreement and/or other agreements as mentioned above, the development, release, and timing of any features or functionality described for Party B’s products and/or services remains at the sole discretion of Party B. It is acknowledged that nothing in this MOU is intended to make a commitment to deliver any material, code or functionality, etc., and this MOU should not be relied upon in making any purchase decision.
基于商务协议和（或）上述提到的其他协议，乙方有权自行决定乙方产品和/或服务所描述的特性及功能的开发，发布，时间安排。各方一致认定，订立此MOU协议的目的不在于承诺交付资料、代码或功能等，且不能作为进行采购决策的依据。

E. Relationship among Each Party:
五 各方关系：
The clauses in this MOU cannot be regarded as that any party has committed to the exclusive granting of any product or technology to the other party, or that the parties concerned have forged cooperation partnership or market, or that there are any limits on either party to seek cooperation with any third party on the content of this MOU.
本备忘录条款的签署并不意味着任何一方就任何产品或技术向其他方做出任何排它性的承诺，也不意味着各方因此而形成合作伙伴或市场合作关系。任何一方均可针对本备忘录所涉及的内容与任何第三方寻求合作，而不受本备忘录的制约。

F. IPR (intellectual property right)
六 知识产权：
Each party retains its ownership and IPR of its independently developed programs and services.
在各自独立开发的软件程序和服务上，各方可以保留其所有权和知识产权。
The ownership or intellectual property right (IPR) of any new product or solution as a result of the implementation of this MOU will be further agreed in the above-mentioned Commercial Agreement and/or other agreements. Each party undertakes not to violate any other party’s IPR of relevant programs and services.
在此MOU协议的实施过程中形成的任何新产品或新解决方案，其知识产权的拥有权将通过上述的商务协议或其他协议确认，各方保证不侵犯他方所拥有的软件程序和服务的知识产权。

G. Confidentiality Clause：
七 保密条款：
According to this MOU, each party is likely to come into contact with the information that should be kept confidential (“confidential information”). Confidential information shall refer only to the terms and prices hereunder and all the materials clearly identified as confidential.
根据此MOU，各方可能接触到不宜公开的信息（称之为“机密信息”）。机密信息被定义为MOU项下的条款及价格以及和所有被明确标注为机密的资料。

The confidential information of a party shall not include information which (a)is (or becomes) a part of public knowledge without any act or mistake of the other party; or (b) has been in the other party’s lawful possession prior to the disclosure and has not been obtained by the other party either directly or indirectly from the discloser; or (c) is lawfully disclosed to the other party by a third party not bound by restriction on disclosure; or (d) is independently developed by the other party.
任何一方的机密信息不应该包括：（a）非其他方的行为或过错而公开的信息；（b）在泄露之前已经成为第三方合法拥有的信息，或第三方所获得的信息并非直接或间接来自泄密方；（c）不受保密约束的前提下、由第三方合法对外公开的信息；（d）由其他方独立开发的信息。

Each party agrees to keep secret each other’s confidential information within three years from the date of disclosure of the information. Each party agrees that, unless required by law, neither party should disclose the confidential information in any form to any third party for any purpose other than the implementation of this MOU. Each party agrees to take all reasonable steps to ensure that no employees or its agent(s) t violate the provisions of this
MOU by disclosing or disseminating the confidential information.
各方同意在机密信息披露之日起三年内为相互的机密信息保密。亦同意除了法律要求的情况以及本MOU的实施需要，任何一方不得以任何形式和任何目的将保密信息泄露给第三方。各方也同意采取一切合理措施来确保他们的雇员或代理人不公开或传播机密信息，从而确保不违反此MOU之规定。

H. Applicable Laws and Dispute Settlement:
八 适用法律及纠纷解决：
The substantive and the procedural laws of the People’s Republic of China shall be applicable laws of this MOU. Each party agrees that all disputes on confidentiality or IPR related to this MOU shall be ruled by and submitted into a competent court which located in the domicile of Party B
中华人民共和国实体法和程序法适用于此MOU。各方同意有关机密信息或与此MOU相关的知识产权的纠纷将交由乙方住所地人民法院裁决。

I. Legal Responsibilities：
九 法律责任：
This MOU is a preliminary statement on intent of cooperation of each party. Except the legal responsibilities of confidentiality and IPR agreed hereunder, other clauses herein are non-binding. Each party agrees that, no party shall raise any demand on the rights and interests incurred herefrom (including but not limited to compensation for damages) or seek rights or interests through lawsuits or arbitration or any other form of legal proceedings (the rights and interests in this clause do not include the rights and interests concerning confidentiality and IPR).
此MOU陈述了各方的初步合作意向，在此MOU中除了保密条款和知识产权条款外，其他任何条款均不对各方构成法律约束.各方同意任何一方均不得依据本备忘录向他方提出任何权利和利益的要求（包括损害的补偿要求），也不得通过诉讼或仲裁来寻求任何权利和利益（本条款所提及的权利和利益不包括有关保密和知识产权的内容）。

J. Miscellaneous：
十 其他：
1 .This MOU is valid for 6 months upon signing of this MOU by the parties.
此MOU将在各方签订之日起6个月内有效。
2. Each party should make amendments or supplements to this MOU on Strategic Cooperation in written form.
各方需以书面形式对本战略合作MOU做出修正或补充。
3. This Agreement shall be written in English and Chinese, and in case of discrepancy, the Chinese version shall prevail.
本协议以英文和中文书就，如出现理解差异，应以中文文本为准。
4. Done in quadruplicate with each party keeping one copy. This MOU has annexes, which are integral parts of this MOU.
本协议共一式四份，四方各持一份。本协议相关的附件是此协议不可分割的组成部分。
